2025 Bylaws: Key revisions at a glance
Governance Structure Clarified: Defines the roles of Officers and At-Large Directors more clearly, sets a Board size of 5–11 members, and limits Board terms to two consecutive three-year terms.
Membership and Voting Rights: Members continue to have the right to vote and hold office. However, authority for approving the budget, amending bylaws, and electing officers would now rest with the Board.
Purpose Statement Simplified: The purpose of MOCA has been condensed into a single statement focused on the preservation, maintenance, and study of Maine’s old cemeteries.
Committees Streamlined: Specific committees are no longer named in the bylaws; instead, the Board has discretion to establish or retire committees as needed. Roles and responsibilities are moved to a Policies & Procedures Manual.
Meeting Flexibility: Board and member meetings may now be held remotely, with clear procedures for notice, quorum, and voting. Board members may vote by email between meetings when necessary.
Financial Safeguards: Authority over financial transactions is clearly defined. Board members must disclose conflicts of interest annually, and financial oversight procedures have been expanded.
Member Involvement in Amendments: While bylaw amendments will be adopted by a vote of the Board, members will be notified in advance and given a 45-day period to review and comment before the Board votes.
